1. License Grant

Subject to the terms and conditions of this Agreement, Medflow Digital grants you a limited, non-exclusive, non-transferable license to use the deliverables and services provided to you.

Website and Design Assets

Upon full payment, you receive full ownership rights to custom designs, websites, and marketing materials created specifically for your business, with the following exceptions:

• Third-party components and libraries remain under their respective licenses
• Stock photos and assets are licensed as per their original terms
• Medflow Digital retains the right to showcase work in portfolios

Software and Tools

Any proprietary software, tools, or frameworks developed and used by Medflow Digital remain the intellectual property of Medflow Digital. You receive a license to use the output or results of these tools for your business purposes.

2. License Restrictions

Unless otherwise agreed in writing, you agree not to:

• Sell, rent, lease, or sublicense the deliverables to third parties without permission
• Remove or alter any copyright, trademark, or proprietary notices
• Reverse engineer, decompile, or disassemble any proprietary software components
• Use the deliverables in any way that violates applicable laws or regulations
• Claim the work as your own creation or misrepresent the source
• Use templates or frameworks provided for purposes beyond your project scope

3. Intellectual Property Ownership

Client-Specific Work

Upon receipt of full payment, you own all rights, title, and interest in and to custom deliverables created specifically for your project. This includes:

• Custom website designs and code
• Brand identity and logo designs
• Custom graphics and illustrations
• Marketing content and copy written for your business

Medflow Digital Property

Medflow Digital retains all rights to:

• Proprietary frameworks, templates, and development tools
• Internal processes, methodologies, and documentation
• Pre-existing intellectual property used across projects
• The Medflow Digital name, logo, and brand assets

Portfolio Rights

We reserve the right to use project deliverables in our portfolio, case studies, and marketing materials unless you explicitly request confidentiality in writing.

4. Warranty Disclaimer

THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Medflow Digital expressly disclaims all warranties, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• That the services will be uninterrupted or error-free
• That all defects will be corrected
• That the services are compatible with all systems

However, we provide a reasonable warranty period (typically 30 days) after project delivery to fix bugs and errors in our work at no additional charge.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDFLOW DIGITAL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER.

Our total liability for any claim arising out of or relating to this Agreement shall not exceed the amount paid by you for the specific service or deliverable giving rise to the claim during the twelve (12) months preceding the claim.

This limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

6. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement.

Upon termination:

• You must cease all use of the services and deliverables
• Outstanding payments become immediately due and payable
• Rights to work-in-progress remain with Medflow Digital until payment

Provisions that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.
